GENERAL TERMS AND CONDITIONS OF SALE

These general terms and conditions of sale apply exclusively to products marketed through Grentservice s.r.l. Innovative with registered office in Viale Majno, 28 - 20129 Milan, VAT number 10438060963, (Grentservice) through the www.fruttidellaterra.it website . The Site hosts a marketplace through which third parties (Shops or Sellers) promote and/or market their own or third-party products to users. The products, therefore, are not sold directly by Grentservice but by each individual Vendor, as the case may be. On the basis of agreements between each Seller and Grentservice, the User is obliged to pay the amount due for the purchase of the products directly to Grentservice, which acts as agent for the collection in favour of the Seller.

The Site is owned by Grentservice, which is also the owner of the name and domain of the Site, fruttidellaterra.it

1. Scope

1.1 The sale of products through the Site (Products) constitutes a distance contract governed by Chapter I, Title III (Articles 45 et seq.) of Legislative Decree No. 206 of 6 September 2005 (Consumer Code) and Legislative Decree No. 70 of 9 April 2003, containing the regulation of electronic commerce.

1.2 These General Terms and Conditions of Sale apply to all sales made by Sellers on the Site.

1.3 The General Terms and Conditions of Sale may be modified at any time. Any changes and/or new conditions will be in force from the moment they are published in the "General Terms and Conditions of Sale" section of the Site. For this reason, Users are invited to access the Site regularly and to consult, before making any purchase, the most up-to-date version of the General Terms and Conditions of Sale. The applicable General Terms and Conditions of Sale are those in force on the date the purchase order is sent.

1.4 These General Terms and Conditions of Sale do not govern the sale of products and/or the supply of services by parties other than Sellers who are present on the Site through links, banners or other hypertext links. Before carrying out commercial transactions with these subjects, it is necessary to check their conditions of sale. Grentservice and the Sellers are not responsible for the supply of services and/or the sale of products by these parties. Grentservice does not carry out any control and/or monitoring on the websites that can be consulted through these links. Grentservice is therefore not responsible for the contents of these sites nor for any errors and/or omissions and/or violations of the law by them.

2. Purchases on the Site

2.1 Access to sales made through the Site is reserved exclusively for Users who are at least 18 years old.

2.2 Access to the offers on the Site is allowed to both Users and consumers, as defined by art. 3, paragraph 1, letter a) of Legislative Decree 206/2005 (Consumer Code), meaning natural persons who, in relation to the purchase of Products, act for purposes unrelated to any commercial, artisanal, entrepreneurial or professional activity carried out, and to Users who are not consumers within the meaning of this definition.

2.3 Grentservice reserves the right to refuse or cancel orders that come from (i) a User with whom it or at least one of the Sellers has an ongoing legal dispute; (ii) by a User who has previously violated these General Terms and Conditions of Sale; (iii) by a User who has been involved in fraud of any kind and, in particular, fraud relating to credit card payments; (iv) by a User who has provided false, incomplete or otherwise inaccurate identification data or who has not promptly sent Grentservice the documents requested by the same on the basis of these General Terms and Conditions of Sale or who has sent invalid documents; (v) by a User who does not give sufficient guarantees of solvency.

3. Registration on the Site

3.1 The purchase of Products on the Website is possible only for Users who have registered in advance or during the purchase phase. Registration on the Site is free of charge. To register on the Site, the User must fill in the registration form that can be reached from the "Register" link on each page of the Site. The registration will be confirmed by sending an e-mail to the User who, to complete the registration procedure, must click on the appropriate link contained in the communication received. Registration on the Site allows the User to carry out the following activities through a reserved and personal area (Profile), among others:

·        follow the tracking of the shipment and the status of the orders;

·        consult the order history;

manage their personal data and modify and/or update them at any time;

add or delete the credit card(s) with which to make payments.

3.2 The registration credentials must be used exclusively by the User and may not be transferred to third parties. The User undertakes to keep them secret and to ensure that no one has access to them, as well as to inform Grentservice without delay, by contacting it as indicated in art. 9 of these General Terms and Conditions of Sale, in the event of suspected misuse and/or disclosure of the same. The User guarantees that the personal information provided during the registration process on the Site is complete and truthful. The User agrees to hold Grentservice harmless from any damage, compensation obligation and/or sanction deriving from and/or in any way connected to the User's violation of the rules on registration on the Site or on the storage of registration credentials.

4. Information for the conclusion of the contract

4.1 In accordance with Legislative Decree no. 70 of 9 April 2003 containing provisions on electronic commerce, Grentservice informs the User on behalf of the Sellers that:

·        to conclude the contract for the purchase of one or more Products on the Site, the User must fill in an order form in electronic format and send it to Grentservice, electronically, following the instructions that will appear from time to time on the Site and that will accompany the various stages of the order progress;

·        at the time of concluding the order, by entering the details of the credit card or choosing the one the User wants to use (in the event that he is already registered as a User), no payment transaction will be carried out but only a pre-authorization equal to the amount of the Total Order will be required. If, on the other hand , the payment is made through the PayPal service, since it is not possible to manage a pre-authorization with this system, the payment transaction will be carried out at the time of the order;

·        the Total Order amount  is the amount indicated in the Order Form and is equal to the sum of the prices of the products purchased plus transport costs if due;

·        for variable weight products, as specified in Article 7 of these General Terms and Conditions of Sale, the price calculated in the Total Order is an Estimated Price in accordance with the provisions of the same Article 7, as the actual weight of the variable weight product(s) can only be counted when the product(s) has been weighed;

·        once the Order Form has been registered and confirmation of the pre-authorisation for payment of the total amount due has been received, Grentservice will send the User, via e-mail, to the e-mail address indicated, the confirmation of receipt of the order, containing a summary of the order placed, a detailed indication of the price and delivery costs.  It is recommended to keep the e-mail received as proof of regular completion of the order. The General Terms and Conditions of Sale applicable to the order, as well as the standard instructions on withdrawal and the standard withdrawal form are set out in the following articles of these General Terms and Conditions of Sale;

·        the order form will be stored in the Grentservice database for the time necessary to process the order and, in any case, within the terms of the law. The User registered on the Site will be able to check his order through his Profile;

4.2 Article 9 of these General Terms and Conditions of Sale will clarify the payment system which, in the case of the use of a credit card, provides for a pre-authorisation at the time of completing the order and subsequent payment, with the pre-authorisation being completed during the shipment of the product(s). 9 will be clarified how the refund will be made, if payment has been made via PayPal, when there is a difference between the Order Total and the Actual Order Amount.

4.3 The language available to Users for the conclusion of the contract is Italian. Customer Service is able to communicate with users in the same language.

5. Validity of prices

5.1 All prices of the Products are expressed in Euros (€) and are inclusive of Value Added Tax ("VAT"), to the extent required by law and if due. Shipping costs and any other additional costs, including VAT and expressed in Euros (€), will be expressly and separately indicated in the order form, before the User proceeds with the transmission of the same, as well as on the e-mail confirming receipt of the order that Grentservice will send to the User.

5.2 The price of the Products may be modified by Grentservice, subject to agreement with the Sellers, at any time, without prior notice, it being understood that the price charged to the User will be the one published on the information sheet illustrating the main characteristics of the Product (Product Sheet) at the time the order is sent. Any changes (up or down) in the price subsequent to the transmission of the order will not be taken into account.

6. Purchase Orders - Product Information

6.1 Grentservice will process the purchase order on behalf of the Seller, and will arrange for the shipment of the order, which will be carried out by the individual Seller, only after receiving confirmation of the positive outcome of the pre-authorization for the payment of the Total Order Amount , constituted as specified in art. 4 of these General Terms and Conditions of Sale,  the sum of the price(s) of the product(s) that the User intends to purchase, the delivery costs, if any, as indicated in the order form. In the event that the pre-authorization is unsuccessful, the purchase contract will be considered terminated by law pursuant to and for the purposes of art. 1456 of the Italian Civil Code.

6.2 Each Product is accompanied by a Product Sheet. The images and descriptions on the Site reproduce the characteristics of the Products as faithfully as possible. The colors of the Products, however, may differ from the real ones due to the settings of the computer systems or computers or mobile devices (smartphones of all models and types including I-phones) used by Users for their display. Furthermore, the images of the Product in the Product Sheet may differ in size from the real ones.  These images must therefore be intended as indicative and with tolerances of use. For the purposes of the purchase contract, the description of the Product contained in the label will be valid, which is always clearly legible in the presentation photos.

6.3 The Product Sheet, together with the information referred to in the previous article, contains information about:

·        days of the week in which the specific product is shipped;

·        amount of transportation costs relating to that Seller;

·        free shipping threshold for that Seller;

·        possibility of activating or not, for the specific product, the "Recurring Purchase" service referred to in Article 12 of these General Terms and Conditions of Sale.

7. Catch Weight Products

Variable weight products are divided into two categories:
7.1 Those that are purchased and then shipped whole (e.g. chicken): Grentservice will indicate on the product page the Price per unit of measurement (Kg, Hg, Gr,) but the amount that contributes to defining the Total Order (Estimated Price) referred to in the pre-authorization (or payment in the case of using PayPal) will be calculated on a "conventional" weight of a product of the same kind, as indicated on the Product page. Subsequently, when the product is shipped, having verified the weight of that specific product that will be shipped, the same Seller will be able to define its Exact Price for which the previous pre-authorization will be closed and the buyer will be charged the Exact Price of the product (in the case of using PayPal the difference between the Estimated Price and the Exact Price will be refunded, always through PayPal, at the time of shipment). By way of example: The User wants to buy a chicken that has an Estimated Price of € 20.00. Complete the order by following the instructions and enter or choose the credit card with which to make the payment. The banking system asks for a pre-authorization for € 20.00. Once the pre-authorisation has been received and the order has been correctly filled in by the User, Grentservice will send the order to the Vendor who will ship it. At this stage, the Seller will weigh the chicken and calculate the Exact Price of the chicken. If the Exact Price is € 19.00, at the time the payment is made, the Exact Price of € 19.00 will be charged. Consequently, the previous pre-authorization of € 20.00 will be closed. If you have paid the Estimated Price of €20.00 via PayPal, the difference of €1.00 between the Estimated Price and the Exact Price will be credited to your PayPal account. In the example just shown, for simplicity, additional costs such as those related to transport are not considered.

7.2 Those that are purchased and therefore shipped "per Kg, Hg or Gr, but are "multiple" (e.g. pears, apples, etc.): at the time of ordering, a "Weight Increase" value is considered, as a precautionary measure, as indicated on the product page, as it is not possible to proceed, to ensure precision in weight, the division of the product(s); also in this case, there are 2 moments, that of the order with the pre-authorization on the credit card which takes place at the Estimated Price and the subsequent one of the debit by payment which takes place when the actual weight of the product(s) that will be shipped and consequently the Exact Price is known. It should be noted that in the event that the User has used the PayPal system, since it is not possible to manage the pre-authorization phase, the charge will be made at the Estimated Price and the refund will be made as specified above.
By way of example: The User wants to buy 10 kg of apples that have an estimated price of € 2.00 per Kg. Complete the order by following the instructions, enter or choose the credit card with which to make the payment. Grentservice, through the banking system, asks for a pre-authorization for € 20.06 (equal to the required weight 10Kg + for example 0.3 kg of "surcharge value" = increased weight 10.3 kg, which multiplied by the price per kg is equal to € 20.6). Once the pre-authorisation has been received and the order has been correctly filled in by the User, Grentservice will send the order to the Vendor who will ship it. At this stage, the Seller will weigh the apples and calculate the exact price of the apples. If their weight is 20.1 kg, the consequent exact price will be € 20.2. At the time of payment, the previous pre-authorization on the User's credit card of € 20.06 will be closed and the Exact Price of € 20.2 will be charged. If you have paid by PayPal, the difference will be refunded to your PayPal account. Also in this example, as in the previous one, for simplicity, additional costs such as transport costs are not considered.  In these situations, Grentservice and the Vendors guarantee to scrupulously comply, within the limits of the existing objective possibilities, with the request made by the User so that it reflects as faithfully as possible the quantity indicated in the order. If there are significant differences with respect to the order, the User will be contacted by Grentservice's customer service, via email, to confirm his/her willingness to purchase.

8. Availability of Products

8.1 The products offered on the Site, as authentic products, are available in limited quantities. It may therefore happen that the ordered Product is no longer available after the purchase order has been transmitted.

8.2 In any event of unavailability of the ordered Product, the User will be promptly informed by e-mail. The Contract will be considered immediately terminated and Grentservice will cancel the pre-authorization received at the time of sending the order by the User. In case of payment via PayPal, the refund will be made.

8.3 In the case of orders concerning a plurality of products, i.e. both in the case of a Multiple Order (meaning several quantities of the same product from the same Seller) and in the case of a Mixed Order, (meaning several different products from the same Seller or from different Sellers) if the supervening unavailability concerns only some of the products covered by the Multiple Order and/or the Mixed Order, Grentservice will immediately notify the User by e-mail, but the contract will be concluded limited to the products available. In this situation, the pre-authorization will be closed and you will only be charged for the amount of the available products that will be shipped. In the case of payment via PayPal, unavailable products will be refunded by crediting the User's account.

9. Payment Methods

9.1 Payment for the Products must be made by Credit Card. If the User is unable to use this payment system, please notify the email address.

9.2 The Visa, Mastercard, Maestro, PostePay, Hype and BancomatPay, American Express and PayPal circuits are active on the Site. They are, in any case, indicated on the Site at the bottom of the page.

9.3 At the time of transmission of the order, the link to the Secure Payment Service will open and the payment procedure will be structured differently if the payment is made via PayPal or through the other systems indicated. Especially

-Use of all circuits (Visa, Mastrercard, Maestro, American Express, etc,) except PayPal, the procedure is divided into the following phases:

Pre-authorization request on the credit card equal to the Total Order relating to the order placed: at this stage no payment is made but only a pre-authorization with verification of the User's solvency and verification of the provisions of point C of this article below. Obtaining the pre-authorization generates the purchase order;

Closure of the pre-authorization referred to in the previous point with debit of the Actual Amount if different due to the presence of variable weight products, as specified in article 7 of these general conditions of sale;  this transaction will take place at the time of shipment of the order and in the case of Multiple Orders from several Sellers with different shipping times, the charge will take place when the Seller who, among those in the order, ships last, has shipped.

- Use of the PayPal system, the procedure is divided into the following phases:

Immediate debit to your PayPal account of the Total Order amount relating to the order placed. Payment generates the purchase order;

In the event that the order contains variable weight products, as specified in art. 7 of these general terms and conditions of sale and the Actual Amount of the order is different from the Total Order Paid, the difference will be refunded at the time of shipment of the goods and, in the shipping email that will be sent, the delivery note will be attached indicating the Actual Amount of the order. In the case of a Multiple order from several Sellers with different shipping times, the difference will be refunded when the Seller who ships last among those in the order ships.

9.4 The User registered on the Site will have the possibility to save his credit card data (it is not possible to save the data with BancomatPay and PayPal). The User hereby authorizes the storage of the credit card data entered and their reuse for the payment of subsequent purchases on the Site. The registered User may, at any time, revoke the authorization to reuse credit card data by accessing his or her Personal Profile. As better specified in the following articles, the data are not stored on the Grentservice server but exclusively on the server of the company Axerve _Banca Sella.

9.5 In order to guarantee the security of payments made on the Website and to prevent any fraud, Grentservice reserves the right to ask the User, by e-mail, to send, by the same means, a copy of the front and back of his/her identity card and, in the event that the order holder is different from the cardholder, of the latter's identity card. The document must be valid. The request e-mail will specify the deadline by which the document must be received by Grentservice. This term will not, in any case, exceed 5 working days from receipt of the request by the User. While waiting for the requested document, the order will be suspended. The User is required to send the requested documents within the indicated deadline.

9.6 In the event that Grentservice does not receive such documents within the deadline specified in the request e-mail or receives expired or invalid documents, the contract with the Seller shall be considered terminated by law pursuant to and for the purposes of art. 1456 of the Italian Civil Code and the order will consequently be cancelled. The termination of the contract, of which the User will be notified by e-mail, within 3 working days of receipt of the documents requested by Grentservice, will result in the cancellation of the order, with the consequent cancellation of the pre-authorization received and relating to the Total Amount Due. In the event that the User has made the payment by PayPal, the amount of the Order will be refunded by the same means.

9.7 In the event of receipt by Grentservice of valid documentation within the deadline indicated in the e-mail referred to in art. 13.1.5 above, the delivery terms will start from the date of receipt of the same.

9.8 Grentservice uses the secure payment service of the company Axerve_ Banca Sella, which provides that payments are processed through a secure server-to-server connection using the SSL Protocol (Secure Sockets Layer) with 128-bit encryption. The confidential data of the credit card (card number, holder, expiry date, security code) are encrypted and transmitted directly to the payment provider without passing through the servers used by Grentservice. Grentservice therefore never has access to and does not store any data relating to the User.

10. Delivery of purchased Products

10.1 Deliveries of the Products purchased are made exclusively in Italy. For deliveries outside Italy, the User is kindly invited to request the possibility of shipping by sending an email to info@grentservice.com

10.2 Delivery is subject to charges. Delivery costs are borne by the User, unless otherwise indicated during the purchase process and/or in other parts of the Site. The amount of delivery costs payable by the User in relation to a specific order is expressly and separately indicated (in Euros and including VAT) during the purchase process, in the order summary and, in any case, before the User proceeds with the transmission of the same. The indication of these costs will also appear in the order confirmation.

10.3 An additional charge may be required for delivery to certain areas. This cost will be specifically indicated during the purchase procedure and, in any case, before the completion of the same, as well as in the order summary. The shipping/delivery terms will be specifically indicated during the Purchase Process and in the order summary, and, in any case, before the user submits the order.

10.4 The delivery obligation is fulfilled by transferring the material availability or in any case control of the Products to the User.

10.5 It is the User's responsibility to check the condition of the Product that has been delivered to him/her. Without prejudice to the fact that the risk of loss or damage to the Products, for reasons not attributable to Grentservice and/or the Seller, is transferred to the User when the User, or a third party designated by the same and other than the carrier, takes physical possession of the Product, the User is recommended to check the number of Products received and that the packaging is intact, not damaged, nor wet or in any way altered, even in the closing materials and the Carrier is invited, in his interest, to indicate any anomalies on the Carrier's transport document, accepting the package with reservation and specifying the reason for the reservation (example: wet package, tampered closure of the package, etc.). The unreserved receipt of the Products, in fact, does not allow the User to take legal action against the Courier, in the event of loss or damage to the Products, except in the event that the loss or damage is due to wilful misconduct or gross negligence on the part of the Courier itself and except for partial loss or damage that is not recognizable at the time of delivery. provided that in the latter case, the damage is reported as soon as it is known and no later than three days after receipt. In the event that the package shows obvious signs of tampering or alteration, the User is also recommended to promptly notify Grentservice Customer Service by sending an email to aiuto@grentservice.com and documenting, if possible, the complaint with a photo of what has been received. In any case, the application of the rules on the right of withdrawal and the legal guarantee of conformity remains unaffected.

10.6 Products purchased on the Site will be shipped and delivered to the address indicated by the User. Delivery will be made, unless otherwise indicated, by the courier indicated from time to time from Monday to Friday, during normal office hours (from [09.00]  to [18.00]), excluding national holidays.

10.7 The date of shipment, i.e. the day on which the Vendor delivers the product(s) subject to the Order to the Courier, is expressly indicated on the page where the shopping cart is displayed. It should be noted that in the case of Multiple Orders, two different situations may occur:
A) Multiple Order from the same Seller: if the products selected for purchase have different shipping periods, they will all be shipped on the shipping day of the product that has a "longer shipping period"; by way of example, purchase of: jam with shipping "two working days from the order"; capers with shipping "two working days from the order" and bread with shipping "4 working days from the order". All products will be shipped within the 4th working day from receipt of the order;   
B) Multiple Order from multiple Sellers: each Seller will ship the product(s) independently in compliance with the provisions of the previous point.

10.8 Upon delivery of the Products to the Courier by the Seller, the User will be sent an e-mail confirming the shipment in which the tracking number will be indicated through which the User can check the status of the shipment in the Profile section of the Site. This e-mail will also contain information on the delivery procedure, the deadline for collection in the event of non-delivery due to the absence of the recipient and the consequences of failure to collect it within the specified deadline.

10.9 Those who have not collected the package more than twice for different orders may not make purchases on the Site. In the event that such parties place orders in violation of this provision, the purchase contract may be considered terminated by law pursuant to and for the purposes of art. 1456 of the Italian Civil Code. The termination of the contract will be communicated to the User by e-mail and the User who has placed the order will have the pre-authorization of the Amount Due revoked.

10.10 The User acknowledges and accepts that in the event of multiple attempts at delivery, "storage" or request for delivery of the Product on a day other than the one originally indicated by the Seller, the Perishable Products subject to the purchase order may perish before delivery. In these cases, the User waives any dispute against the Seller and/or Grentservice.

11. The Online Purchase Service

11.1 Following the User's Registration on the Website, the Registered User will have the right to purchase the Products by using the Online Purchase Service and making individual purchases by selecting the Products he intends to purchase from time to time. All the provisions of these General Terms and Conditions of Sale apply to the online purchase service, with the exception of those provided for in article 12 below, which are reserved for the "Recurring Purchase" Service.

12. The "Recurring Purchase" Service (not available)

Following the successful Registration on the Website, the Registered User will have the right to purchase the Products using the "Recurring Purchase" service which offers the possibility of receiving, every week or every two, three, or four weeks, the products that the User wants and chooses, scheduling, at once, his shopping. When the Registered User makes use of the "Recurring Purchase" service, he is subject to the specific provisions of this Article 12.

12.1 To activate and set up the "Recurring Purchase" Service, the Registered User may access it:

from the HomePage, in the "Make your recurring shopping" section , which already lists all the products that may be the subject of recurring shopping

directly from the Product Page where it is indicated whether that product is eligible for recurring purchase. In fact, the wording "Recurring Purchase" is expressly indicated on the Product Page if that Product can be the subject of the service in question. If the indication is present and you want to include that Product in the recurring expense, you must select this service in the space provided. If, on the other hand, the words "Recurring Purchase" do not appear on the Product Page, that product cannot be the subject of a recurring purchase.

12.2 Starting from the "Make your recurring shopping" section or from the Product Page, as indicated in the previous point of these General Terms and Conditions of Sale, the User, by following the guided procedure on the Site, can set up and conclude the planning of his recurring shopping.

12.3 The "Recurring Purchase" service, as highlighted in the wizard on the website, can be scheduled for 4 weeks following the week in which the programming is carried out. After 4 weeks, it is automatically re-activated with the same frequency selected and continues until the User decides to interrupt it permanently or temporarily.

12.4 All the provisions of the previous and subsequent articles of these General Terms and Conditions of Sale apply to the "Recurring Purchase" service because the Recurring Purchase is configured by Grentservice as a programming of one or more Online Purchases that the User intends to program at once.

12.5 It follows from point 12.4 above that both the pre-authorization on the Amount Due and the subsequent payment of the Actual Amount, will not take place in a single solution, but from time to time, as if it were a single online expense(s).

12.6 The User who decides to use the "Recurring Purchase" service will be able to access the "Recurring Purchase" section from his profile, from which he can manage his recurring spending, for example, change the type of products he intends to receive, the quantities, as well as the frequency of receipt going from "every week" to "every two weeks" or "every three or four weeks", change the payment system, the shipping address, interrupt and/or suspend your recurring shopping and in any case do everything indicated in the specific section of the site.

12.7 The order for the purchase of Products through the "Recurring Purchase" service will be binding for Grentservice only if the entire procedure for activating this service has been completed regularly and correctly without any evidence of error messages by the website. The order for the modification of individual products referred to in the relevant "Recurring Purchase" section sent by the User will be binding for Grentservice only if the entire procedure for replacing the products or any other modification has been completed regularly and correctly without any highlighting of error messages by the website.

12.8 Grentservice's acceptance of the activation of the "Recurring Purchase" service will result in a recurring charge to your credit card for the cost of the products selected for the "Recurring Purchase" in addition to delivery costs, if applicable. Also in this case, the same criterion used for online shopping is respected, that is, at the time of the order, a pre-authorization is requested from the issuing institution of the credit card used and at the time of shipments, the charge and therefore the payment is made.

12.9 Following the setting of your recurring purchase and obtaining the pre-authorization for the amount due relating to the 1st week of receipt of the "Recurring Order", the User will receive confirmation of the "Recurring Purchase" order by e-mail, with a summary of the products ordered and their prices, the date of shipment, the periodicity of the same and the general and particular conditions applicable to the order itself.

12.10 The User who has opted for the "Recurring Purchase" service undertakes to promptly update the data provided in the event of a change in the payment method selected at the time of activation of the Subscription Service, as subsequently modified. If failure to update the respective payment data makes it impossible to proceed with the payment of the "Recurring Purchase" Service, Grentservice will have the right to suspend the provision of the Subscription Service until the date of regularization of the information necessary to complete the payment.

12.11 By activating the "Recurring Purchase" Service, the User:

guarantees the availability of the amount necessary for the payment of the Products ordered through the "Recurring Purchases" Service and, in the event of renewal of "Recurring Purchase" orders, guarantees the availability of the amount requested for each renewal period prior to expiry;

expressly authorizes the Company or third parties authorized by it to store the credit card identification on its systems in order to allow the same to be repurchased in a facilitated manner; in this specific case, the above data are stored by Axerve _Gruppo Banca Sella

expressly authorises the Company or third parties authorised by it to periodically credit the amount for purchases according to the payment method indicated at the time of activation of the Service, as subsequently modified.

12.12 Interruption of the "Recurring Purchase" Service The User who has chosen to make a "Recurring Purchase" has the right to interrupt, at any time and at no additional cost, the "Recurring Purchase" service. In the event that the User intends to deactivate the "Recurring Purchase" service, he must access his Profile, enter the "Recurring Purchase" section and select "Stop Recurring Purchase". The interruption of the Recurring Purchasing Service will be effective:

Immediate if the communication is received by Grentservice by the closing date of the order relating to the next shipment scheduled with the recurring purchase.

By way of example: recurring purchase scheduled with frequency "every two weeks" closing of the order at 23.59 on Thursday, shipment on Monday. The notice of interruption of the "Recurring Purchase" service must be made by 11.59 pm on the Thursday specified above so that the User will not be shipped on the following Monday. The following table considers the 4 Weeks of programming with the days of the week and the repetition of the week indicated (marked with the suffix -bis to indicate the continuation of the programming)

Recurring purchases scheduled for Week 2 and Week 4 from a Seller who closes the Order at 11:59 p.m. on Thursday and ships on Monday. You received your purchase in Week 2 but want to end the relationship and no longer want to receive the recurring product in Week 4. In order for the interruption to take effect immediately, it must be communicated/interrupted, through the appropriate section of the Site, by 11.59 p.m. on Thursday of Week 3. 

Starting from the next order, if the communication has been received by Grentservice after the closing date of the order relating to the subsequent shipment of the recurring purchase. 

If, referring to the previous example, the deactivation of the recurring purchase service takes place after 11.59 pm on the Thursday of Week 3, the User will receive the "recurring purchase" products that will be shipped on the Monday of Week 4 but will no longer receive them in Week 2-bis Please note that the "Recurring Purchase" service may be suspended for a certain period of time, if the subscription user wishes to "interrupt" it for a certain period of time and then "resume" it. For the effective date of the suspension, the above applies to the deactivation of the recurring purchase service.

13. Right of withdrawal

13.1 The User is informed that, pursuant to art. 59 of the Consumer Code, the right of withdrawal is excluded, among other things, in the event that the sale concerns:

·        Custom-made or clearly personalised products;

·        Products that are likely to deteriorate or expire quickly;

·        Sealed products that are not suitable for return for reasons of hygiene or health protection, which have been opened after delivery. 

13.2 The User who is a consumer has the right to withdraw from the contract concluded with the Seller, without having to incur costs other than those provided for in this article and without having to specify the reason, within fourteen (14) calendar days (Withdrawal Period). The Withdrawal Period expires after 14 days from the day on which the User received the Product(s). The User who intends to exercise the right of withdrawal is advised to communicate it promptly to ensure that the returned product(s) are received by the Vendor before the expiry of the 14 days as specified in article 13.5 below.

13.3 To exercise the right of withdrawal, the user must inform Grentservice of his/her decision to withdraw, before the expiry of the Withdrawal Period. To this end, the user can send an email to aiuto@grentservice.com containing an explicit declaration of his decision to withdraw from the contract (Declaration of Withdrawal) necessarily indicating the order confirmation code and the description of the product(s) for which the exercise of the right of withdrawal is requested.

13.4 The User has exercised his/her right of withdrawal within the Withdrawal Period if the communication regarding the exercise of the right of withdrawal is sent by the consumer before the expiry of the Withdrawal Period.

13.5 In the event of Withdrawal, the User may use a carrier of his/her choice to return the Product: in this case, the User, after exercising the right of withdrawal in the manner indicated in the previous articles, must return the Product to the Vendor using the carrier (at his/her own expense), without undue delay and in any case within 14 calendar days from the date of receipt of the product(s). The deadline is met if the User provides documentation of having sent back the Product before the expiry of the fourteen-day period. The Product, suitably protected and packaged, must be shipped to the address indicated by Grentservice. The direct costs of returning the Product to the Vendor shall be borne by the User. The return of the Product is the responsibility of the User.

13.6 If the User withdraws from the contract, Grentservice will proceed with the refund of the Actual Total Amount paid by the User for the Product, including shipping costs, if applicable. The refund will be made using the same means of payment used by the User for the initial transaction; in any case, the User shall not incur any costs as a result of such reimbursement. The refund shall be suspended until the Seller has received the Products. Once the products have been received, Grentservice will refund the product within 14 working days.

13.7 In the event of partial withdrawal from Multiple and/or Mixed Orders, the amount of the shipping costs to be refunded to the User will be quantified in proportion to the value of the Product(s) subject to withdrawal. Therefore, if, for example, you have placed a total order of 200.00 Euros, which includes two Products, the first worth 50.00 Euros and the second worth 150.00 Euros, and you return the Product worth 150.00 Euros, you will be refunded an amount equal to 75% of the delivery costs you have incurred. In any case, the amount of the delivery costs to be returned may never exceed the amount actually paid by the User.

13.8 The User is only responsible for any decrease in the value of the goods resulting from handling the Product other than that necessary to establish the nature and characteristics of the Product. The Product must in any case be kept, handled with normal diligence and returned intact, complete in all its parts accompanied by all accessories (box for example) and package leaflet, with any identification tag, if present, as well as the labels, if present, must be attached to the Product which must therefore be intact and not damaged.  moreover, it applies to the Product in its entirety.

13.9 In the event that the withdrawal has not been exercised in accordance with the provisions of the applicable legislation, it will not result in the termination of the contract and, consequently, will not give the right to any refund. Grentservice will notify the User within 5 working days of receipt of the Product), rejecting the request for withdrawal. The Product, if already received (by the Seller), will remain at the Seller's disposal for the User for collection, which must take place at the expense and under the responsibility of the User within 30 days of the communication of non-acceptance of the return.

13.10 In the event that the Product for which the withdrawal has been exercised has suffered a decrease in value resulting from a manipulation of the goods other than that necessary to establish the nature and characteristics of the Product, as specified in art. 13.8, the redemption amount will be reduced by an amount equal to this decrease in value. Grentservice will notify the user of the circumstance and the consequent reduced amount of reimbursement within 5 working days of receipt of the Product.

14. Assurance of Conformity

All Products sold on the Site are covered by the Legal Guarantee of Conformity provided for by art. 128-135 of Legislative Decree no. 128-135 of the Consumer Code (Legal Warranty). The Legal Warranty is reserved for consumers. It therefore applies only to users who have made the purchase on the Site for purposes unrelated to any entrepreneurial, commercial, craft or professional activity carried out. Those who have purchased on the Site and who are not consumers will be subject to the warranty for defects in the thing sold, the warranty for promised and essential quality defects and the other guarantees provided for by the Civil Code with the related terms, forfeitures and limitations. The guarantees referred to in this article are provided by the Seller, and in no case by Grentservice.

15. Governing Law and Jurisdiction; Out-of-court dispute resolution - Alternative Dispute Resolution/Online Dispute Resolution

15.1 The contracts concluded between the users of the Site and the Seller are governed by Italian law. This is without prejudice to the application, to consumer users who do not have their habitual residence in Italy, of any more favourable and mandatory provisions provided for by the law of the country in which they have their habitual residence, in particular in relation to the deadline for exercising the right of withdrawal, the deadline for returning the Products, in the event of exercising this right, the methods and formalities of the communication of the same and the legal guarantee of conformity.

15.2 It should be noted that in the case of a consumer user, any dispute relating to the application, execution and interpretation of these General Terms and Conditions of Sale shall be subject to the jurisdiction of the court of the place where the user resides or has elected domicile.

15.3 Pursuant to art. 141-sexies, paragraph 3 of Legislative Decree no. 206 of 6 September 2005 (Consumer Code), Grentservice and the Seller inform the user who is a consumer pursuant to art. 3, paragraph 1, letter a) of the Consumer Code, that, in the event that the Seller has submitted a complaint directly to the Seller, as a result of which it has not been possible to resolve the dispute thus arised, the Seller will provide information on the Alternative Dispute Resolution body(s) for the out-of-court resolution of disputes relating to obligations arising from a contract concluded on the basis of these General Terms and Conditions of Sale (so-called ADR entities, as indicated in Articles 141-bis et seq. of the Consumer Code), specifying whether or not it intends to make use of these entities to resolve the dispute itself. The Seller also informs the user who is a consumer pursuant to art. 3, paragraph 1, letter a) of the Consumer Code that a European platform for the online resolution of consumer disputes (so-called ODR platform) has been established. The ODR platform can be consulted at the following address http://ec.europa.eu/consumers/odr/; through the ODR platform, the consumer user will be able to consult the list of ADR entities, find the link to the website of each of them and start an online resolution procedure for the dispute in which he or she is involved. In any case, the right of the consumer user to bring the dispute arising from these General Terms and Conditions of Sale before the ordinary competent courts, regardless of the outcome of the out-of-court settlement procedure for disputes relating to consumer relationships by resorting to the procedures referred to in Part V, Title II-bis of the Consumer Code.

15.4 The User who resides in a member state of the European Union other than Italy, may also access, for any dispute relating to the application, execution and interpretation of these General Terms and Conditions of Sale, the European procedure established for small claims, by Council Regulation (EC) No. 861/2007 of 11 July 2007, provided that the value of the dispute does not exceed, excluding interest, rights and expenses, Euro 2,000.00. The text of the regulation is available on the www.eur-lex.europa.eu website.
